SPONSOR SHREDIT CARDS CONTEST 
OFFICIAL RULES

GENERAL DESCRIPTION OF CONTEST ("Contest'):

RIDE Channel ("Sponsor") seeks submissions from amateur skateboarders of their ten best skateboard tricks for a chance to play "Shredit Cards" and win up to $250.00 in credit for use at the Skatepark of Tampa online skate shop.

ELIGIBILITY: NO PURCHASE NECESSARY TO ENTER OR WIN. Contest is open to individuals age thirteen (13) or older as of the date of entry, who have an active e-mail account and internet access during the Contest Period. Entrants under the legal age of majority in the jurisdiction in which they reside (and at least 18) must have permission from their parents or legal guardians to participate. Employees of Sponsor and its subsidiaries, affiliates and assigns and members of their immediate families are not eligible for prize awards.

HOW TO ENTER:

1.	To enter, e-mail a link of your 10 best tricks ("Submissions") to shreditcards@theridechannel.com

2.	You must include your name, address and telephone number with your Submissions.

3.	By submitting your Submissions, you agree to all of the terms and conditions contained in these Official Rules.

JUDGING CRITERIA

Submissions will be screened and judged on the basis of the skill demonstrated in the Submissions.  All Submissions must conform to Sponsor's policies. This is a skill-based contest and chance plays no part in the determination of winners. 
Sponsor's producers will select Submissions for participation in the Contest. If your Submission is selected for inclusion in the Contest, your Submissions will be broadcast on RIDE Channel and your tricks will be judged abd awarded points in the form of dollar amounts. Winners will receive these dollar amounts in the form of credits which may be redeemed as set forth below in the PRIZES paragraph. Decisions of the judges as to all contest matters are final. There is no guarantee that your Submissions will be selected for the Contest, or any guarantee that if your Submissions are selected for the Contest that you will be awarded any particular number of points for your tricks.  
 
PRIZES

Submissions chosen for inclusion in the Contest are eligible to receive up to $250.00 in credit for use at the Skatepark of Tampa online skate shop.  Prizes will be provided as a one-time use gift code which can be redeemed by the winner online at www.Skateparksoftampa.com. Directions for prize redemption will be provided to each winner along with winner notification. All details of prizes not specified herein shall be determined solely by Sponsor. All taxes (if any) and any other expenses not explicitly specified herein are the sole responsibility of the winner. Prizes are non-transferable; no substitution is allowed except at the sole discretion of Sponsor due to prize unavailability. Sponsor reserves the right to substitute the prize with prize(s) of comparable value. Sponsor makes no guarantees or warranties with respect to prizes, and winner shall look solely to the prize manufacturer for any such warranty or guarantee claim.

ADDITIONAL TERMS

• At producers' sole option, one or more Submissions or any portions, clips or segments thereof, may be broadcast on RIDE Channel and retained and considered for use and reuse in other RIDE Channel programming.

• Sponsor reserves the right to edit and/or alter any Submissions.

• Only videos conforming to Sponsor's and YouTube's standards and practices will be eligible for inclusion in the Contest.

• Sponsor reserves the right to broadcast Submissions on RIDE Channel, in a manner to be determined in producers' sole discretion, whether or not the Submissions are chosen for inclusion in the Contest.

• Sponsor reserves the right to amend these rules at any time.

NOTIFICATION OF WINNERS: Winners will be notified by e-mail or YouTube comment and/or private message. If a selected winner cannot be contacted, is ineligible, fails to claim a prize and/or where applicable an affidavit of eligibility and publicity/liability release is not timely received, is incomplete or modified, the prize may be forfeited and an alternate winner selected from remaining valid, eligible entries timely submitted.

CONTEST PERIOD: The contest deadline has yet to be determined but will be announced on RIDE Channel in advance of the deadline for submissions. All Submissions must be received by Sponsor on or before the deadline date to be considered for inclusion in the Contest.

RIGHT TO CANCEL. MODIFY AND/OR SUSPEND THE CONTEST: Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend the Contest in whole or in part, in the event of fraud, technical or other difficulties or if the integrity of the Contest are compromised, without liability to the entrant. Sponsor reserves the right to disqualify any entrant or winner, as determined by Contest, in its sole discretion. The Contests are subject to these Official Rules and all applicable federal, state, provincial and local laws and regulations apply. As stated above, the Contest is void where prohibited or restricted by law. By participating in this Contest, you acknowledge that you have read these Official Rules and agree to abide by them and by the decisions of Sponsor, which are final and binding on all matters pertaining to the Contest. These Official Rules are governed by the law of the State of California, excluding rules governing choice of laws.

GENERAL TERMS AND CONDITIONS: By participating in this Contest, each entrant ("Entrant") agrees to be bound by these rules and by the decisions of Sponsor and judges, which are final and binding in all respects.  By entering, each entrant transfers all rights to the content of his/her entry and the ideas/concepts embodied therein. Sponsor shall have the right to modify, use, assign or dispose of such entries however they see fit without approval of entrants or any third party. Entrants grant Sponsor the right to use their names, images, likenesses, photographs, voices, tricks, performances, videos, Submissions, and biographical materials in and in connection with the Contest, RIDE Channel and related purposes, and for advertising, publicity and promotion purposes in connection with such uses, including, without limitation, posting, streaming and/or broadcasting the foregoing on RIDE Channel or in a winner's list and other online announcements, and for sharing the Submissions with the media for viewing, whether TV or print, without additional compensation, unless prohibited by law. Neither entrants nor winner shall receive any compensation or credit for use of entries, other than that disclosed in these rules.  Transfer of prizes or registrations is strictly prohibited.  Cash substitutes for prizes will not be awarded. The Contest is void in whole or in part where prohibited by law. Winners may be required, as a condition of receiving a prize, to sign and return within a specified time, a declaration of eligibility, liability release, publicity release, and any other forms or documents required by Sponsor or by tax or other governmental authorities.  Should an Entrant make any false statement in any document referenced above, Entrant may be required promptly to return Entrant's prize to Sponsor.  Sponsor is not responsible for incorrect, incomplete, inaccurate, illegible, misdirected, late, lost or delayed entries, which may be disqualified, whether caused by technical malfunction or human error.   Any attempt by any Entrant to deliberately interfere with or damage the Contest, modify entries, or undermine the legitimate operation of the Contest may be a violation of criminal and civil laws and may result, among other things, in disqualification from the Contest.  Subject to any governmental approval which may be required, Sponsor reserves the right, without prior notice and at any time, to terminate or suspend the Contest, in whole or in part, or to modify the Contest in any way, should any factor (including but not limited to fraud or security breach) interfere with the Contest, proper conduct as contemplated by these Official Rules, or if Sponsor believes that the Contest has been or will be compromised in any way.  Sponsor reserves the right to void any entry submitted for a prize, if it believes such entry was submitted other than through regular channels of business as contemplated by these Official Rules or that the entry has been tampered with in any manner.  
By entering the Contest, you further agree to release, indemnify, defend and hold Sponsor, 900 Films, Inc., Tony Hawk, Inc., Tony Hawk, and each of their parents, affiliates, subsidiaries, directors, officers, employees, sponsors, agents, including advertising and promotion agencies, successors, assigns, partners, shareholders, any any and all other organizations related to the Contest (all of the foregoing, collectively, "Released Parties"), harmless, from any and all claims, injuries, damages, expenses or losses to person or property and/or liabilities of any nature that in any way arise from your participation in this Contest or acceptance or use of a prize or parts thereof, including, without limitation, (i) any condition caused by events beyond Sponsor's control that may cause the Contest to be disrupted or corrupted; (ii) any injuries, losses, or damages (compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with your participation in the Contest, your performance of tricks, your creation of the Submissions, and/or your acceptance, possession or use of the prize, or otherwise in connection with your participation in the Contest; (iii) any printing or typographical errors in any materials associated with the Contest. Winners agree to be bound by these Official Rules, and Sponsor's decisions in all respects relative to the Contest are final; and (iv) your appearance on Sponsor. 
Entrants will retain sole ownership of his or her Submissions. By entering this Contest, and to the extent allowed by law, Entrants grant Sponsor and each of their affiliates, licensees, promotional partners, third party marketing entities, successors and assigns, the non-exclusive, perpetual, royalty-free, no-cost license and right to use and otherwise exploit the Submissions submitted as part of the Contest, and all images, text, and materials depicted therein, in whole or in part, in any manner or medium now or hereafter known or devised (including, without limitation, CDs, streaming media, film, television, videocassettes, print, interactive devices, mobile media, Internet and on-line systems), throughout the universe and in any and all languages, including, without limitation, the right to display, reproduce, record, perform, exhibit, distribute, copy, edit, change, modify, add to, subtract from, re-title and adapt the same, to combine it with other material and otherwise use and exploit it. Sponsor and each of their successors, assigns and licensees, will have the right to make unlimited derivative works there from, to assign or transfer any or all such rights and to grant unlimited, multiple-level sublicenses. Without limiting the forgoing, Sponsor  will have the right to use the Submissions submitted as part of the Contest, and all images depicted therein (if any), in any merchandising, advertising, marketing, promotion or for any other commercial or non-commercial purpose. Entrants hereby forever waive and relinquish all so-called "moral rights (droit moral)" now or hereafter recognized in connection with Submissions submitted as part of the Contest. Entrants agree that Sponsor shall have the sole discretion in determining the extent and manner of use of Submissions and are not obligated to use any Submission.  All Submissions that are streamed on RIDE Channel are available to be viewed by anyone with access to the Internet. Entrants waive and release the Released Parties from any and all claims that entrants may now or hereafter have in any jurisdiction based on unfair competition with respect to the Sponsor exploitation of Submissions without further notification or compensation to entrants of any kind, and agree not to instigate, support, maintain, or authorize any action, claim, or lawsuit against the Released Parties or any other person in connection with this Contest, on the grounds that any use of any Submissions, or any derivative works, infringe, or violate any of entrants' rights therein. By entering this Contest, entrants agree that the Sponsor and each of their affiliates, licensees, promotional partners, and third party marketing entities shall have the right and permission to use their name, picture, voice, biographical data, photograph, testimonial, or other likeness and/or personal exposition (and/or any edited portion thereof), and/or any information contained in his/her Submissions for promotional, advertising, and/or publicity purposes in any media, now or hereafter known, throughout the world in perpetuity, without compensation or notice to, or further consent of, to the winner to the extent permitted by law. The Released Parties will not enter into any correspondence, including email, with non-winning entrants. The Sponsor reserve the right, in their sole discretion, to disqualify any individual found tampering with the entry process or entry materials or otherwise interfering with the proper administration of the Contest or violating these Official Rules. <b>. EACH ENTRANT ACCEPTS THE CONDITIONS STATED IN THESE OFFICIAL RULES, AGREES TO BE BOUND BY THE DECISIONS OF THE SPONSOR, WARRANTS THAT THEY ARE ELIGIBLE TO PARTICIPATE IN THIS CONTEST, AND AGREES TO RELEASE, INDEMNIFY, AND HOLD HARMLESS THE RELEASED PARTIES FROM AND AGAINST ANY AND ALL CLAIMS, LOSSES, LIABILITY, AND DAMAGES OF ANY KIND, (INCLUDING REASONABLE ATTORNEYS' FEES AND EXPENSES) ASSERTED AGAINST ANY OF THEM, INCURRED, SUSTAINED, OR ARISING IN CONNECTION WITH PREPARING FOR, PARTICIPATING IN, AND/OR TRAVELLING TO OR FROM ANY CONTEST-RELATED ACTIVITY, INCLUDING, WITHOUT LIMITATION, ANY INJURY, DAMAGE, DEATH, LOSS, OR ACCIDENT TO PERSON OR PROPERTY, OR FROM THE RESPECTIVE ENTRANTS' BREACH OF ANY AGREEMENT OR WARRANTY ASSOCIATED WITH THE CONTEST, INCLUDING THESE OFFICIAL RULES. ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND, SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR AND EACH OF THEIR LICENSEES RESERVE THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR ANY SUCH ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.  YOU FURTHER UNDERSTAND THAT YOUR PARTICIPATION IN THE CONTEST MAY BE DANGEROUS, AS SKATEBOARDING IS AN INHERENTLY DANGEROUS ACTIVITY. YOU HEREBY RELEASE AND DISCHARGE THE RELEASED PARTIES OF AND FROM ANY AND ALL CLAIMS, DEBTS, LIABILITIES, DEMANDS, OBLIGATIONS, COSTS, EXPENSES, ACTIONS AND CAUSES OF ACTION OF EVERY NATURE, CHARACTER AND DESCRIPTION, KNOWN AND UNKNOWN, THAT YOU OR ANY PERSON CLAIMING OR PURPORTING TO CLAIM THROUGH YOU NOW OWNS OR HOLDS, OR HAVE AT ANY TIME HERETOFORE OWNED OR HELD, OR MAY AT ANY TIME OWN OR HOLD, BY REASON OF ANY MATTER, CAUSE OR THING WHATSOEVER, OCCURRED, DONE, TO BE DONE, OMITTED OR SUFFERED IN CONNECTION WITH YOUR PERFORMANCE OF THE TRICKS CONTAINED IN YOUR SUBMISSIONS AND/OR YOUR EFFORTS TO PERFORM AND/OR RECORD TRICKS TO BE INCLUDED IN SUBMISSIONS FOR THE CONTEST  WHICH CAUSES YOU OR ANY THIRD PARTY INJURY, DEATH, DAMAGES, LOSS, LIABILITY OR PROPERTY DAMAGE.  YOU APPRECIATE AND VOLUNTARILY ASSUME ALL DANGER AND RISK ASSOCIATED WITH YOUR PARTICIPATION IN THE CONTEST AND YOUR PERFORMANCE OF TRICKS FOR INCLUSION IN THE CONTEST.  YOU VOLUNTARILY ELECT TO ACCEPT ALL RISKS CONNECTED WITH YOUR PARTICIPATION IN THE CONTEST AND PERFORMANCE OF ALL TRICKS FOR INCLUSION IN THE CONTEST, INCLUDING BUT NOT LIMITED TO, THE RISK OF SERIOUS INJURY, DEATH AND PROPERTY DAMAGE. YOU COVENANT THAT YOU WILL NOT SUE, PERMIT ANY THIRD PARTY TO SUE, OR OTHERWISE BRING ANY FORM OF ACTION WHATSOEVER AGAINST US OR ANY OTHER RELEASED PARTY IN CONNECTION WITH YOUR PARTICIPATION IN THE CONTEST AND/OR PERFORMANCE OF THE TRICKS TO BE CONSIDERED FOR THE CONTEST, INCLUDING WITHOUT LIMITATION, ALL CLAIMS FOR NEGLIGENCE OR RECKLESS DISREGARD BASED ON SPONSOR'S SPORNSORING OF THE CONTEST OR OTHERWISE. YOU HEREBY AGREE THAT THIS WAIVER OF LIABILITY AND ASSUMPTION OF RISK EXTENDS TO ALL ACTS OF NEGLIGENCE BY US AND THE RELEASED PARTIES, INCLUDING NEGLIGENT RESCUE OPERATIONS, AND IS INTENDED TO BE AS BROAD AND INCLUSIVE AS IS PERMITTED BY THE LAWS OF THE STATE OF CALIFORNIA AND THE LAWS OF ALL OTHER APPLICABLE JURISDICTIONS. YOU AGREE TO INDEMNIFY AND DEFEND US FROM ANY CLAIMS BROUGHT BY YOU OR ANY THIRD PARTY ON YOUR BEHALF IN VIOLATION OF THIS AGREEMENT.</b>

GOVERNING LAW:

All issues and questions concerning the construction, validity, interpretation and enforceability of the Contest, or the rights and obligations of entrants and the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of California or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than the State of California.

This is a binding agreement between you and Sponsor and constitutes the entire agreement between you and Sponsor relating to Submissions and supersedes any prior or inconsistent agreements regarding the subject matter hereof.
